Nurcon Terms and Conditions

Welcome to Nurcon LLC ("Nurcon," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our services, software, and website (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. Please read them carefully.
1. Use of Services
1.1 Eligibility: You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By using the Services, you represent that you meet these requirements.
1.2 Prohibited Activities: You agree not to:
• Violate any laws or regulations.
• Impersonate others or misrepresent your affiliation with a person or entity.
• Use the Services to send unsolicited communications, spam, or junk mail.
• Interfere with or disrupt the Services or associated networks.
• Attempt to gain unauthorized access to the Services or related systems.
• Copy, monitor, or scrape content or data from the Services without authorization.
• Upload viruses, worms, or other harmful software.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Harvest or collect data from other users without consent.
2. Subscriptions and Payments
2.1 Billing: All subscriptions are billed monthly or annually, as per your selected plan. Usage-based charges (e.g., SMS, email campaigns, AI tools) will be billed in addition to subscription fees.
2.2 Non-Refundable: All fees are non-refundable. No credits or prorations will be provided for unused time on subscriptions.
2.3 Cancellation: Cancellation requests must be submitted at least seven (7) days before the next billing cycle. Failure to cancel on time may result in additional charges.
2.4 Reactivation Fee: Accounts terminated for non-payment will incur a $100 reactivation fee if reinstated.
3. Licensing and Intellectual Property
3.1 Ownership: All intellectual property rights, including backend systems, automations, and tools, remain the exclusive property of Nurcon LLC.
3.2 License: You are granted a non-exclusive, non-transferable license to use Nurcon’s systems and tools during your subscription. Upon termination, this license is revoked, and access to the Services ceases.
3.3 Data Export: Upon termination, you may export your contacts and data. Proprietary systems, automations, and tools are excluded from export.
4. Data Security and Retention
4.1 Privacy Policy: Use of the Services is governed by our Privacy Policy, which outlines how we collect, use, and protect your data.
4.2 Retention Period: Client data will be retained for 30 days post-termination. After this period, all data will be permanently deleted.
5. Service Availability and Support
5.1 Support: Support requests can be submitted through the platform. We strive to respond within 24 hours.
5.2 Downtime: While we aim for high availability, occasional maintenance or unexpected outages may occur. Nurcon is not liable for temporary disruptions.
6. Geographic Restrictions
The Services are designed for use within the United States. Users accessing the Services from outside the U.S. are responsible for compliance with local laws.
7. Limitation of Liability
7.1 Liability Cap: Nurcon’s liability for any claims is limited to the subscription fees paid in the three (3) months preceding the claim.
7.2 Disclaimer: The Services are provided "as-is" and "as-available" without warranties of any kind. Nurcon disclaims all implied warranties, including merchantability and fitness for a particular purpose.
8. Marketing Authorization
By using the Services, you grant Nurcon permission to use your name, logo, and non-confidential information for marketing purposes, such as testimonials and case studies.
9. Arbitration and Dispute Resolution
9.1 Arbitration: Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association in Marion County, Florida. Arbitration will proceed on an individual basis.
9.2 Class Action Waiver: You waive the right to participate in class actions or consolidated claims. Arbitration shall be conducted on an individual basis only, and no collective or representative actions are permitted.
9.3 Costs: Arbitration costs, including fees and compensation for the arbitrator, will be shared equally by the Parties unless the arbitrator decides otherwise.
10. Third-Party Integrations
10.1 Responsibility: The Services may integrate with third-party tools and platforms. Nurcon is not responsible for the reliability or performance of third-party services.
10.2 Disruptions: Any disruptions or issues caused by third-party integrations do not constitute a breach of this Agreement by Nurcon.
11. Termination
11.1 By Nurcon: We may terminate your account immediately for violations of these Terms or non-payment.
11.2 Post-Termination: Upon termination, all access to the Services ceases. Data will be retained for 30 days, during which it can be exported. Proprietary systems and tools remain inaccessible.
12. Miscellaneous
12.1 Amendments: Nurcon reserves the right to amend these Terms. Changes will be communicated via email or the platform. Continued use of the Services constitutes acceptance of updated Terms.
12.2 Force Majeure: Nurcon is not liable for delays or failures caused by events beyond our control, including natural disasters, labor strikes, or internet outages.
12.3 Assignment: Nurcon may assign its rights and obligations under these Terms. You may not assign your rights without prior written consent.
12.4 Severability: If any provision is deemed invalid, the remaining provisions remain enforceable.
12.5 No Partnership: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Nurcon.

By using Nurcon’s Services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
